Dear Video Ocean users, welcome to use Video Ocean products and related services!
Please review this agreement carefully. If you have any questions regarding its contents or the information provided on this page, we recommend that you refrain from proceeding further. You may contact Video Ocean's official customer service for detailed explanations and assistance. By clicking to continue and using any Video Ocean products or services, you acknowledge that you have read, understood, and fully agree to all the terms and conditions outlined in this agreement.
I. Introduction
The "Video Ocean User Service Agreement" (hereinafter referred to as "this Agreement") constitutes a legal agreement between HPC AI Technology Pte. Ltd. and its affiliates (hereinafter referred to as "HPC-AI," "we," or "us") and users (hereinafter referred to as "you" or "users") concerning your access to, registration for, login to, and use (collectively referred to as "use") of Video Ocean's related products and services.
Before using Video Ocean, we strongly recommend that you carefully read and fully understand the terms of this Agreement, particularly those highlighted in bold. Should you have any questions or require clarification regarding any aspect of this Agreement, please refrain from proceeding further and contact Video Ocean's official customer service for further explanation and guidance. By clicking to confirm, registering, logging in, or otherwise using Video Ocean’s products and services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and its terms.
**1.1 Platform Rules:**This Agreement includes other relevant agreements, activity rules, announcements, instructions, in-site messages, etc. related to Video Ocean that we have published or will publish in the future (collectively referred to as "Platform Rules"), which have the same legal effect as this Agreement and are an integral part of this Agreement.
**1.2 Protection of Minors:**If you are under the age of 18 or do not have full civil capacity due to intellectual or mental health conditions, you should read and agree to the contents of this Agreement, especially the terms of use involving minors, under the accompaniment and guidance of your guardian when using Video Ocean, and you can only use Video Ocean and related services after obtaining the explicit consent of your guardian.
**1.3 Guardian Responsibilities:**If you are the guardian of a minor under the age of 16, you must carefully read and agree to the contents of this Agreement, especially the terms regarding recharge consumption, for your ward before using the Video Ocean service. Guardians should earnestly perform their guardianship responsibilities to ensure that minors use Video Ocean in a safe and appropriate environment.

II. Scope of Application of the Agreement
2.1 This Agreement applies to your access to and use of all functions and services provided by the Video Ocean platform (hereinafter referred to as Video Ocean).
2.2 This Agreement encompasses the main body of the Agreement as well as any supplementary rules, operational procedures, announcements, and notices that Video Ocean has published or may publish in the future (hereinafter collectively referred to as the "Rules"). All such Rules are an integral part of this Agreement and shall carry the same legal weight as the main provisions.
We reserve the right to amend or update this Agreement and/or the related Rules in response to changes in applicable laws, regulations, or business requirements. In the event of any modifications, we will notify you through website announcements or other reasonable means. If you do not agree with the updated terms, you must cease using Video Ocean's functions and services immediately upon the effective date of the changes. Continued use of the services following the effective date of such changes will be deemed as your acceptance of the modified terms.
2.3 The titles attached to the terms of this Agreement are only for your convenience to understand the content of the terms and cannot be used to interpret or limit the actual meaning of the terms. In order to protect your legal rights and interests, it is recommended that you read the specific content of each clause carefully.
2.4 If any clause of this Agreement is partially or completely invalid or unenforceable for any reason, it will not affect the validity of other clauses of this Agreement, and other clauses will continue to be valid and binding.
2.5 In addition, if you use products and/or services provided by a third party on this platform, in addition to complying with this Agreement, you must also comply with the third party's terms of service and related agreements.
III. Service Introduction
3.1 Service Content Video Ocean provides you with services including AI content generation (such as text generation, image generation, audio and video generation) based on artificial intelligence (abbreviated as "AI") model technology. You can enter descriptive text, images, audio or video according to your needs to obtain text, images, audio and video customized by AI. In addition, we also provide image and video editing services, information publishing and interactive communication and other functional services.
3.2 Service Form You can use this service by visiting the Video Ocean website. We grant you a personal, non-transferable and non-exclusive license for the purpose of accessing and using this service only.
3.3 Service Scope
3.3.1 You may use, display and run this product on a single terminal device for non-commercial purposes. Without our written authorization, you may not commercially sell, copy, distribute or engage in other commercial activities (such as pre-installation or bundling of software).
3.3.2 All other rights not expressly authorized by the terms of this Agreement remain ours, and you must obtain our written permission separately when exercising these rights. Our failure to exercise any of the aforementioned rights does not constitute a waiver of such rights.
3.3.3 Unless you have obtained our express written authorization in advance, you may not use Video Ocean in any unauthorized manner, including but not limited to adaptation, copying, dissemination, crawling, vertical search, mirroring or trading.
3.4 Service Changes
3.4.1 In order to improve user experience and meet the diverse needs of users, we will continue to develop new services and may provide service updates (including but not limited to service replacement, modification, function enhancement, version upgrade or suspension or termination of related services). In order to ensure the security and functional stability of this service, comply with compliance requirements or operational needs, we may make necessary updates to the service or modify or restrict some functions.
3.4.2 In view of the particularity of network services, you have the right to stop using this service at any time, and we deeply regret this. We may also change, interrupt or stop part or all of the services at any time within the scope permitted by law.
IV. User Account and Use
4.1 User Qualification By registering and using Video Ocean services, you confirm and acknowledge that you possess the requisite legal capacity as stipulated by the laws of the People's Republic of China to engage in such actions. If you do not have the appropriate legal capacity, you must carefully review this Agreement with the assistance of your legal guardian, fully understand its contents, and obtain your guardian’s consent prior to registering and using Video Ocean services. You and your guardian will jointly bear responsibility for your registration and use of the service.
In the event you are registering or using Video Ocean services on behalf of a corporation, organization, or other legal entity, you represent and warrant that you have obtained full authorization and possess the necessary authority to act on behalf of the entity and agree to be bound by the terms of this Agreement.
Additionally, you must ensure that you are not subject to any sanctions or restrictions and that you do not, either directly or indirectly, provide funds, goods, or services to any sanctioned or restricted parties. Should this be the case, you are required to immediately cease using Video Ocean services. You acknowledge and agree that any failure to meet the above requirements may result in the inability to register or use the service in a normal capacity.
4.2 Account Registration You can register a Video Ocean account by providing a mobile phone number and completing the SMS dynamic verification process.
4.3 Account Acquisition After you complete all the information prompted on the registration page, read and agree to this Agreement, you can complete the registration and obtain a Video Ocean account and become a formal user.
4.4 Account and Password Security You are responsible for keeping your Video Ocean account and password safe and assume legal responsibility for all operations under your account. You agree not to disclose your account and password to others under any circumstances. If you suspect that your account has been stolen or is otherwise unsafe, you should notify us immediately. We will take reasonable technical measures to protect the security of the server-side account, but you may seek legal compensation from the infringer for losses caused by active disclosure, attack or fraud. If you need Video Ocean's assistance, we will do our best to assist within the legal framework.
4.5 Account Ownership and Usage Restrictions Video Ocean accounts are the exclusive property of HPC-AI. Upon successful registration, you will be granted a limited, non-transferable right to use the account. The account is intended solely for your personal use. You are responsible for maintaining the confidentiality and security of your account information and password, and you bear full responsibility for any actions taken under your account.
Without our prior written consent, you are prohibited from lending, renting, gifting, transferring, selling, or otherwise permitting any third party to use your account. If we discover or reasonably suspect that the user of the account is not the original registrant, we reserve the right to suspend or terminate the service and permanently disable the account.
If you become aware of any unauthorized use of your account, you must notify us immediately. In cases where we determine that the security of your Video Ocean account and/or the information security of the platform may be compromised, we reserve the right to suspend the provision of related services. Such suspension will remain in effect until you initiate a request for account restoration via a secure, verifiable method and the security risk has been fully addressed.
4.6 Account Information Requirements You understand and promise that the Video Ocean account information you set shall not violate national laws, regulations, policies and platform rules. The registration information such as account name, avatar, personal introduction, etc. shall not contain illegal or bad information, and you shall not register in the name of another person (including but not limited to using another person's name, title, trademark, business name, portrait, avatar, etc. with unique identifiable elements or in a way that is confusing). We have the right to refuse registration or terminate the service and recover the account for any malicious registration behavior, including frequent or batch registration, and you shall bear the losses caused by it.
4.7 Obligation of True Information You promise that the information provided is true, valid, and updated in a timely manner. If the law requires us to verify user information, you should cooperate to provide the latest, true and complete information.
4.8 Real-name authentication In accordance with national laws and regulations, in order to use some or all of the functions of Video Ocean, we may require you to provide real identity information (such as mobile phone number) and complete real-name authentication. If the information you provide is untrue or does not meet the standards, we have the right to refuse your registration or stop providing services, and you may not be able to use some or all of the Video Ocean service functions.
4.9 Identity verification To protect the security of your account, we may take identity verification measures (such as SMS or email verification) from time to time. If you fail the verification, or we reasonably suspect that the security of your account is compromised, we may unilaterally decide whether to suspend or terminate the provision of our products and/or services to the account and/or take further measures depending on the severity of the circumstances. You agree that the above measures are taken for account security considerations, and we are not responsible for the consequences arising therefrom.
4.10 Account security responsibility You are responsible for maintaining the security of your account and bear all legal responsibility for operations performed in your name. Please keep your account and password information confidential and avoid leaking it to others. If unauthorized actions are caused by the disclosure, we will regard it as your own operation, and you will bear the relevant losses and responsibilities. You understand that it takes a reasonable time for the platform to process the request, and the actions we take at your request may not be able to avoid or prevent the formation or expansion of the consequences of the infringement. Unless we have legal fault, we will not be responsible for the losses before taking action.
4.11 Account Information Display In accordance with relevant laws, regulations and regulatory requirements, in order to facilitate the public to supervise for the public interest and create a good community order, Video Ocean may display the Internet Protocol (IP) address of your account within a reasonable range and other information. The specific display arrangement shall be subject to legal provisions and actual display. You are aware of and agree to this.
4.12 Account Cancellation Currently, we do not support users to cancel Video Ocean accounts on their own. If you need to cancel, please send an email to << videoocean@hpc-ai.com>> to contact us.
V. User Personal Information Protection
5.1 Personal Information Protection We attach great importance to the protection of user personal information. When you use Video Ocean services, you agree that we collect, store, use, disclose and protect your personal information in accordance with the published "Video Ocean Privacy Policy". The "Privacy Policy" details how we handle your personal information. Please read and understand it carefully to better protect your personal information rights.
5.2 Guarantee and Authorization of Non-Personal Information
5.2.1 Compliance of Information Release You promise and guarantee that any content you upload, use, publish or process on the Video Ocean platform will not infringe the legal rights of any third party (including but not limited to portrait rights, copyrights, trademark rights, etc.). Otherwise, we have the right to delete or block such content in accordance with the law or this Agreement, and reserve the right to claim compensation from you.
5.2.2 Prohibited Content You should ensure that the information you publish does not contain the following: (1) Content that violates the prohibitions of national laws and regulations; (2) Content that contains political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terrorism or abetment to crime; (3) Fraudulent, false, inaccurate or misleading content; (4) Content that infringes on the intellectual property rights of others or involves the trade secrets or other proprietary rights of a third party; (5) Content that insults, slanders, intimidates or involves the privacy of others, or infringes on the legitimate rights and interests of others; (6) Content that contains malware or program codes such as viruses, Trojans, crawlers, etc., which may damage, tamper with, delete, affect the normal operation of Video Ocean systems, or obtain the data and personal information of Video Ocean and other users without authorization; (7) Other content that violates the public interest or public morality or is not suitable for publication on Video Ocean according to the Video Ocean Agreement/Rules.
5.2.3 Authorized Use of Non-Personal Information Except for personal information, non-personal information such as text, images, audio, video, etc. that you upload, publish, or generate during use on Video Ocean will not transfer intellectual property rights, portrait rights, etc. due to uploading or publishing. Unless otherwise stated, within the scope permitted by law, you grant us and our affiliates permanent, global, free, and multi-level sublicensable non-exclusive rights, including but not limited to the right to store, use, copy, revise, edit, publish, display, translate, distribute such information or create derivative works, and the right to collect evidence and file lawsuits against third-party infringements in their own name.
VI. Third-Party Websites and Applications
6.1 External Links Video Ocean may contain links to third-party websites, platforms, or links to external websites in content uploaded by other users. Please read their terms of use and privacy policy carefully before accessing these external links. Within the scope permitted by law, we are not responsible for the authenticity, legality or security (including data leakage, etc.) of external websites.
6.2 Third-party applications, products or services During your use of Video Ocean services, if you are involved in applications, products, software or services provided by a third party, you must not only comply with the relevant rules of Video Ocean, but also agree to and comply with the third party's agreement or usage rules. If any dispute or damage arises from third-party applications, products, software and related services, you should resolve it with the third party on your own, and we will not be responsible to you or any third party for this.
VII. User Conduct Code
7.1 User Conduct Requirements
You are responsible for your own behavior on the Video Ocean platform and related services. Unless permitted by law or with our prior written permission, you shall not engage in or authorize or assist others in the following behaviors when using Video Ocean:
Unauthorized interference: Use any unauthorized plug-in, plugin, system or third-party tool to interfere with, damage, modify or affect the normal operation of Video Ocean products and related services.
Behavior that endangers network security: You may not use or target the Video Ocean platform to engage in any activity that endangers network security, including but not limited to:
Unauthorized intrusion into other people's networks, interference with normal network functions, or theft of network data;
Providing programs and tools specifically for engaging in activities that endanger network security, such as intrusion into networks, interference with normal network functions and protective measures, and theft of network data;
Providing technical support, promotion, payment settlement, and other assistance when you know that others are engaging in activities that endanger network security;
Using or accessing unauthorized data or servers/accounts;
Unauthorized access to other people's computer systems or public computer networks, deleting, modifying, or adding stored information;
Attempting to explore, scan, or test the vulnerabilities of the Video Ocean system or network;
Deliberately interfering with or disrupting the normal operation of the Video Ocean system, spreading malicious software, viruses, and other destructive programs;
Forging or tampering with TCP/IP data packet names or parts of names.
Reverse Engineering: You may not reverse engineer, disassemble, decompile, or attempt to discover the source code of Video Ocean.
Data tampering: Acquiring, copying, modifying, adding, deleting, mounting or creating any derivative works of the data released to any terminal memory by the Video Ocean website or during its operation, the interactive data between the client and the server during the operation of the software, and the system data necessary for the operation of the Video Ocean website, including but not limited to using plug-ins, external plug-ins, group control or third-party tools/services not authorized by us to access the Video Ocean website and related systems.
Function modification: You may not affect or modify the platform functions by forging, modifying or deleting Video Ocean instructions and data, or disseminate or disclose such technologies in any form, whether for commercial purposes or not, which shall be deemed as a breach of contract.
Intellectual property protection: You may not delete the intellectual property statement on the Video Ocean content and copies, or circumvent technical measures to delete, conceal or modify the rights management information.
Illegal content use: You may not use or disseminate the content published by us or other users in Video Ocean without permission, including but not limited to subletting, copying, modifying, compiling, mirroring, etc.
Illegal transactions: You may not engage in or assist in illegal activities (such as teaching criminal methods, selling banned drugs, money laundering, fraud) through your Video Ocean account.
Other illegal acts: Any behavior that violates laws and regulations, this Agreement or Video Ocean platform rules, or infringes on the legal rights and interests of others is prohibited.
If we have reasonable grounds to believe that any of your actions violates or may violate the above agreement, we can independently make a judgment and take necessary measures to deal with it. In an emergency, we can terminate the provision of services to you without prior notice and pursue relevant responsibilities in accordance with the law and the agreement.
7.2 Information Content Specification
7.2.1 The information content referred to in this article refers to any content input, produced, copied, published, disseminated, uploaded, or output by users in the process of using Video Ocean products and services, including but not limited to the information displayed on the personal homepage of the Video Ocean account, such as the avatar, nickname, personal introduction, or the text, pictures, audio, video, and other information published and disseminated.
7.2.2 You understand and agree that Video Ocean has always been committed to providing users with a civilized, healthy, and orderly network environment. You may not use Video Ocean accounts or services to input, produce, copy, publish, disseminate, upload, or output the following content that violates laws and regulations, interferes with normal operations, and infringes on the legitimate rights and interests of other users or third parties, including but not limited to:
(1) Violation of the Constitution and Basic Principles of Laws: Content involves violation of the basic principles established by the Constitution, laws and regulations.
(2) Endangering National Security: Content involves endangering national security, leaking state secrets, subverting the state power, and undermining national unity.
(3) Injury to National Honor and Interests: Content involves acts that damage national honor, interests, or image.
(4) Inciting ethnic hatred and discrimination: Content that incites ethnic hatred and discrimination and undermines ethnic unity.
(5) Undermining national religious policies: Content that undermines national religious policies and promotes cults or superstitious activities.
(6) Disrupting social order: Content that spreads rumors, disrupts social order, and undermines social stability.
(7) Spreading obscenity, pornography, gambling, violence, and terror: Content that involves obscenity, pornography, gambling, violence, terror, or incitement to commit crimes.
(8) Infringement of others’ legitimate rights and interests: Content that insults, slanders, or otherwise infringes on others’ legitimate rights and interests.
(9) Inconsistency with social morality and information authenticity: Content that violates the “seven bottom lines” of laws and regulations, the socialist system, national interests, public order, social morality, and information authenticity.
(10) Inciting regional discrimination and regional hatred: Content that incites regional discrimination or regional hatred.
(11) Violence and intimidation of others: Content involves the act of threatening others with violence, intimidation or conducting human flesh searches.
(12) Violation of others’ privacy and personal information: Content involves the act of leaking, stealing or violating others’ privacy, personal information or data.
(13) Damage to social order and morality: Content contains obscene and vulgar language and damages social order and morality.
(14) Infringement of intellectual property rights: Content involves the act of infringing others’ reputation, portrait rights, intellectual property rights, trade secrets and other legal rights.
(15) Dissemination of harassment or sexual suggestion: Content involves harassment or any sexual or sexual suggestion information.
(16) Posting of excessive marketing or spam: Content involves commercial promotion, advertising, excessive marketing or spam.
(17) Commenting in a language not commonly used on this website: Commenting in a language other than the commonly used language on this website.
(18) Posting of irrelevant or meaningless information: Content is irrelevant to the information being commented on, or deliberately uses character combinations to evade technical review.
(20) Infringement of the legal rights and interests of minors: Content involves infringement of the legal rights and interests of minors or damage to the physical and mental health of minors.
(21) Publishing restricted goods or service information: Publishing information on goods or services that are prohibited or restricted from sale without obtaining legal qualifications.
(22) Impersonation or misleading behavior: Content involves impersonation or malicious use of the name of others to publish information.
(23) Posting high-risk, violent, and dangerous content: Content that contains horror, violence, blood, high risk, or endangers the physical and mental health of the performer or others, including but not limited to the following:
i. Any violent and/or self-harming content;
ii. Any content that threatens life and health, or endangers the personal and/or property rights of oneself or others by using dangerous instruments such as knives;
iii. Content that encourages or induces others to participate in dangerous or illegal activities that may cause personal injury or death;
(24) Involving illegal or high-risk activities: Engaging in or assisting in illegal or high-risk activities, such as: military and war, development of weapons, explosives or hazardous materials, management or operation of critical infrastructure (such as transportation, energy), creation or distribution of controlled substances or services, activities with high risk of economic damage, including gambling, automatic determination of credit qualifications, employment and education decisions;
(25) Other content that violates laws and social ethics: Other information that violates laws, regulations, policies, and public order and good customs, interferes with the normal operation of this product and related services, or infringes on the legitimate rights and interests of other users or third parties.
7.3 Restrictions on Service Use
7.3.1 Prohibited Behaviors of Information Content
Without the written permission of Video Ocean, users or third parties shall not conduct the following acts on their own or authorize, allow, or assist others to conduct the following acts on the information content in Video Ocean:
Unauthorized Copying and Use: Copying, reading, or otherwise using Video Ocean information content for commercial purposes including but not limited to publicity, increasing reading volume, page views, etc.
Unauthorized Editing and Display: Editing, arranging, and arranging Video Ocean information content and displaying it on channels other than Video Ocean source pages.
Directing or diverting traffic: Using any form of identification method such as special logos and special codes to direct, divert, hijack, or otherwise divert traffic to Video Ocean information content, or assisting a third party to do so, which may have an adverse effect.
Other Illegal Acquisition and Use: Obtaining or using Video Ocean information content through other means without authorization.
7.3.2 Prohibition of stealing content and modifying rights statements
Without written permission, no user or third party may directly or indirectly steal text, images, audio, video and other information content in Video Ocean by any means (including but not limited to hotlinking, redundant stealing, illegal crawling, simulated downloading, deep linking, fake registration, etc.). At the same time, it is prohibited to delete, conceal or modify the rights management electronic information of Video Ocean information content in any way (including but not limited to hiding or modifying domain names, platform-specific logos, user names, and patents, copyrights, trademarks or other ownership statements), or delete, conceal or modify patents, copyrights, trademarks, brand logos or other ownership statements displayed or contained on Video Ocean in any way.
7.3.3 Requirements for Sharing and Forwarding
After obtaining written permission from Video Ocean, users or third parties shall follow the following regulations when sharing and forwarding information content:
Data confidentiality obligations: The captured and statistically obtained search hot words, hit rates, categories, search volume, click-through rates, reading volume and other data shall not be disclosed, provided or leaked to any third party in any form without prior written consent.
Prohibition of modifying source pages: No modification shall be made to Video Ocean source pages, including but not limited to home page links, advertising system links and other entrances, nor shall the display of source pages be interfered with by blocking, inserting, pop-up windows, etc.
Preventing illegal acquisition: Take safe and effective measures to prevent Video Ocean information content from being illegally obtained by third parties through methods including but not limited to "spider" programs.
Limited data use: Without authorization, data content shall not be used for purposes outside the scope of the license, or sold or used commercially in any form, or provided, leaked or allowed to be used by third parties.
Comply with relevant agreements: In the process of sharing, forwarding, or copying Video Ocean information content to any third party, strictly comply with this agreement and other relevant specifications and standards.
7.3.4 Prohibition of the production and dissemination of false information
You may not use new technology applications such as deep learning to produce, publish, or disseminate false information. Non-real text, pictures, audio and video information produced by deep learning, virtual reality, generative artificial intelligence, or other content that may cause public confusion should be clearly marked. Without the written consent of Video Ocean, it is prohibited to cover, smear, or delete Video Ocean's identification of information content in any way.
7.3.5 Obtaining legal qualifications and assuming responsibilities
If the information content you input, upload, produce, publish, or disseminate requires a license or relevant qualifications in accordance with laws and regulations, you should obtain the relevant qualifications yourself and bear all legal responsibilities that may arise from it.
7.4 Responsibility for Behavior
7.4.1 Data Review and Legal Compliance
Video Ocean has the right to review your input data and AI-generated content through technology or manual review. You are responsible for all actions taken under your account, including the content you publish and any consequences thereof. When using this service, you may not conduct any behavior that violates Chinese laws, regulations, rules, or other legally binding acts.
7.4.2 Responsibility for Use Results
Video Ocean synthesis results are for reference only. You should not use the output content for professional advice, commercial purposes, or other decisions. If it involves major impacts (such as medical, financial, investment, insurance, etc.), it is recommended to consult a professional. You are solely responsible for the consequences and responsibilities of your judgments based on the synthesis results and related operations, including risks arising from the authenticity, accuracy, reliability, etc. of the content.
7.4.3 Ensure legal use rights
You confirm that the information content uploaded, produced, and disseminated using this service is owned by you or has been authorized by the relevant rights holders to process. Video Ocean's analysis, processing of such information content and generation of new information content according to your instructions will not infringe the legal rights and interests of any third party (including but not limited to patent rights, trademark rights, copyrights and neighboring rights of copyright, portrait rights, privacy rights, reputation rights, property rights, etc.). If you use this service to upload, produce, transmit or disseminate through other means, which infringes the legal rights and interests of a third party (including but not limited to patent rights, trademark rights, copyrights and neighboring rights of copyright, portrait rights, privacy rights, reputation rights, property rights, etc.), and we or our partners face any complaints, reports, inquiries, claims, lawsuits, or cause us or our partners to suffer any reputation, reputation or property losses, you should actively take all possible measures to protect us and our partners from the impact of the above claims and lawsuits. At the same time, you are liable for damages for all direct and indirect losses suffered by us and our partners as a result.
7.5 Reporting of Illegal and Illegal Content
During the use of this service, if you find the above-mentioned illegal and illegal content, you can report it through the Video Ocean user feedback portal or send an email to << videoocean@hpc-ai.com>>. Video Ocean will handle the report in a timely manner and jointly create a healthy network environment.
VIII. Service Fees
8.1 The services we provide for Video Ocean include free and paid items, and you can choose according to your actual needs. Please refer to the information displayed on the Video Ocean page for the specific nature of the service and fee standards. You understand and agree that we may adjust the charging standards and methods of the service or convert some free services into paid services for the needs of business development. For any fee changes, we will announce or publicize them through the Video Ocean page to ensure that you can know them in time. For the avoidance of doubt, the free services we provide shall not be deemed to waive the right to charge fees for such services in the future.
8.2 You understand and agree that the Video Ocean page may contain service portals provided by our affiliates or third parties. Such services are provided for convenience only. If you choose to use them, you need to enter into an agreement with the corresponding service provider, pay fees (if applicable) and bear the relevant risks. We do not assume any guarantee or warranty for the services provided by our affiliates or third parties.
IX. Intellectual Property
9.1 The intellectual property rights and other rights involved in the text, pictures, audio, video or other content or information (hereinafter collectively referred to as "input") submitted by you during the use of this service and the content generated based on Video Ocean (hereinafter referred to as "output") are allocated in accordance with the following terms:
9.1.1 Between you and us, to the extent permitted by applicable law, the intellectual property rights of the input you provide belong to you or the relevant right holder.
9.1.2 To the extent permitted by applicable law, the intellectual property rights of the output and other property rights (if any) generated belong to the right holder specified by applicable law.
9.1.3 If the input and/or output content contains content that belongs to our or a third party's intellectual property or legal rights, the ownership of the relevant rights will not be changed due to the input and/or output containing such content.
9.1.4 You grant us and our affiliates a free, worldwide, perpetual, irrevocable, sublicensable license to use and optimize the information content you provide in order to improve the Service and Model. This license may be sublicensed or relicensed, including but not limited to use on Video Ocean or other cooperative platforms, applications, products or devices.
9.1.5 You agree and authorize us to use or develop the above content by ourselves or authorize a third party for the purpose of publicity and promotion, product updates or new product research, and do not claim personal rights or remuneration.
9.1.6 You promise that all input content is owned by you or authorized by the right holder, and does not contain any content that violates applicable laws and regulations or infringes on the rights of others. If your input infringes on the rights of others, you will bear all legal responsibilities.
9.1.7 If you wish to revoke the authorization, you can notify us by sending an email to < videoocean@hpc-ai.com>.
9.2 Unless otherwise provided in this Agreement, we have full rights to the data and information generated during the development and operation of Video Ocean. You may not use the content of this service without authorization, including but not limited to any monitoring, copying, dissemination, display, mirroring, uploading, downloading, etc.
9.3 Do not use any of our trademarks, service marks, trade names, domain names, website names, our logos (LOGO), URLs or other significant brand features, including but not limited to Video Ocean, " HPC-AI", etc. (hereinafter collectively referred to as "Logos") without our written permission. Without our prior written consent, you may not display, use or apply for trademark registration, domain name registration, etc. of the aforementioned logos in this clause alone or in combination in any way, nor may you expressly or implicitly indicate to others that you have the right to display, use, or otherwise have the right to deal with these logos. You shall bear all legal responsibilities for any losses caused to us or others by your use of our above-mentioned trademarks, logos, etc. in violation of this Agreement.
9.4 During the limited free period, you agree to mark the brand logos involved in this service (including but not limited to Video Ocean, " HPC-AI" and other brand logos with " HPC-AI" as the core) on the content interface when you use, publish or disseminate content using the AI video creation service; if the content generated by this service does not carry the brand logo during use due to objective reasons, you should prominently indicate in the usage scenario of the generated content (including but not limited to adding the aforementioned brand logo with " HPC-AI" as the core in the output content interface or marking it in a prominent position such as the title) that the relevant results are generated by the Video Ocean large model.
9.5 We have the right to adjust these intellectual property terms in a timely manner based on changes in laws, industry development and business models. We will notify you through web announcements or other reasonable means. If you continue to use the service after the terms come into effect, it will be deemed that you agree to the changes.
X. Breach of Contract
10.1 If you violate this agreement or other service terms, we have the right to take measures, including but not limited to warnings, restrictions on publishing, account suspension, content deletion, service termination or permanent account closure, and make the handling results public as appropriate. For serious violations, we will report to the relevant departments in accordance with the law. We have the right not to restore deleted content.
10.2 If you violate this agreement or other terms of service and cause third-party complaints or lawsuits, you shall handle it by yourself and bear all legal responsibilities. If your behavior causes us or affiliates to compensate or be punished, you shall compensate us and affiliates for all losses.
10.3 If you participate in the event by improper means, we have the right to cancel your participation or withdraw your rewards, and have the right to request the return of prizes or cash of equivalent value.
10.4 We respect and protect the intellectual property rights, privacy rights and other legal rights of users and third parties. If you upload or disseminate content that infringes on the rights of third parties, we have the right to remove the content. If you cause us and affiliates to suffer losses due to your infringement, you shall bear all compensation liability.
XI. Scope of liability and limitation of liability
11.1 Our services are provided on an "as is" and "as available" basis, and we do not make any express or implied warranties of the applicability, lack of omissions, continuity, accuracy, reliability or suitability for specific purposes of the services.
11.2 We are not responsible for service interruptions or content changes caused by the following reasons:
(1) Force majeure factors, including but not limited to epidemics, natural disasters, wars, and administrative orders;
(2) Public services or third-party factors, such as power or communication failures;
(3) Situations caused by maintenance, system failures, security issues, etc. despite reasonable management measures.
11.3 You understand and accept that due to the openness of the Internet, the content you publish when using the Service may be copied, reproduced or illegally used. You are solely responsible for such risks.
11.4 Unless otherwise provided by law, we are not responsible for any indirect, incidental, special or punitive damages arising from the use of the Service, even if you have been informed of the possibility.
XII. Changes, interruptions and termination of services
12.1 You understand and agree that the Video Ocean services provided by the Company are provided based on the current technical conditions and product status, and we will do our best to maintain the continuity, security and stability of the services. However, you understand and agree that we cannot foresee and avoid all risks that may affect the normal operation of the Service at any time, including but not limited to force majeure, network problems, third-party service failures and other factors that may cause service interruption, limited use or other losses.
12.2 The Company reserves the right to adjust, modify, suspend or terminate the content and scope of the Service and functions when necessary based on operational and system security requirements. The Company shall not be liable for any inconvenience or loss caused by the adjustment, suspension or termination of the Service.
12.3 You have the right to terminate this Agreement in any of the following ways:
(1) If you meet the account cancellation conditions, cancel your account through the Video Ocean page;
(2) Before the changes to this Agreement take effect, you choose to stop using and clearly indicate that you do not accept the changes;
(3) You take the initiative to stop using the Video Ocean service and meet the relevant conditions.
12.4 We have the right to terminate this Agreement if any of the following circumstances occur:
(1) You violate the provisions of this Agreement and fail to correct the violation after being informed;
(2) You publish false information through Video Ocean, infringe upon the legitimate rights and interests of others, or engage in other illegal activities;
(3) Other reasonable circumstances that warrant termination of the service.
12.5 After the termination of this Agreement, unless otherwise provided by law, the Company will no longer be obliged to retain your account information or assets, and will not be obliged to disclose relevant information.
12.6 The termination of this Agreement does not relieve you of the rights and obligations that have arisen during the term of this Agreement. If you breach the Agreement before the termination of this Agreement, the Company reserves the right to pursue your liability for breach of contract.
XIII, Disclaimer
13.1 You understand and agree that, based on the technical nature and operating environment of Video Ocean services, we cannot guarantee the full applicability of the services, the applicability for specific purposes, or the reliability of all functions and content provided, including but not limited to the following:
(1) Video Ocean is fully suitable for the needs of users;
(2) The services are uninterrupted, continuous, timely, reliable and free of defects;
(3) All functions and content can meet user expectations;
(4) Any errors in the system can be corrected;
(5) The authenticity, accuracy, completeness or functionality of the generated content. If users find inappropriate content during use, they are welcome to provide feedback through the channels provided by this platform.
13.2 The Company does not assume any guarantee or responsibility for network information, advertisements and other content related to lending, investment and financing or property. Users should make their own judgments and bear the relevant risks and losses.
13.3 In the event of service interruption or suspension due to force majeure (such as natural disasters, wars, government actions, etc.), the Company will try its best to repair it, but will not be liable for the losses caused to the extent permitted by law.
13.4 The Company obtains the right to deal with illegal content in accordance with this Agreement, but does not assume the legal obligation to discover or deal with all illegal content.
13.5 You understand and agree that Video Ocean does not provide any express or implied warranties or conditions (including but not limited to merchantability, fitness for a particular purpose, etc.). Users must bear all risks for the use of Video Ocean.
13.6 You understand that the Company will make every effort to judge compliance with laws and regulations and public order and good customs, but cannot ensure that all judgments are consistent with judicial organs or other authoritative departments. The relevant risks are borne by you.
13.7 In any case, the Company shall not be liable for indirect, incidental, special, punitive losses or loss of profits caused by the use of Video Ocean services. Unless otherwise expressly provided by law, the maximum limit of the Company's liability is the fees paid by you during the use of Video Ocean services (if any).
13.8 Risks of using third-party products or services:
(1) You shall comply with the user agreement of the third-party service, and the Company shall not be liable for any disputes with third-party service providers;
(2) The service may call third-party systems or be used through third-party support, and the Company shall not be responsible for the security and effectiveness of the content of third-party services;
(3) The Company has the right to use the service for commercial promotion, but shall not be responsible for the quality of third-party products or services.
13.9 The Company shall not be responsible for the following uncontrollable risks, including but not limited to:
(1) Information leakage caused by force majeure;
(2) Losses caused by device incompatibility;
(3) Risks of accessing third-party websites;
(4) Risks of user-posted content being forwarded or disseminated by others;
(5) Risks caused by unstable wireless network and other reasons.
13.10 The Company’s failure to exercise any right under this Agreement shall not constitute a waiver of such right. Unless otherwise expressly agreed, the Company does not guarantee the legality or applicability of Video Ocean in a particular jurisdiction.
XIV. Use by Minors
14.1 If you are a minor under the age of 18, you must read and agree to this Agreement carefully under the consent, guidance and supervision of your guardian before you can use the Video Ocean service. If the guardian's consent is not obtained, the guardian may notify the platform through the channels announced by the platform to handle the relevant account, and the platform has the right to restrict the functions and use of the account, including but not limited to browsing, posting information, interactive communication and other functions.
14.2 We attach importance to the protection of minors' personal information. Minor users should enhance their awareness of protection when filling in their personal information, fill in carefully, and use the Video Ocean service correctly under the consent and guidance of their guardians.
14.3 Minor users and their guardians understand and confirm that if the consequences are caused by minor users' violation of laws and regulations or the contents of this Agreement, the minor users and their guardians shall bear the corresponding legal responsibilities in accordance with the law.
14.4 Special reminder to minor users:
14.4.1 When using Video Ocean, teenagers should use the Internet reasonably under the supervision and guidance of their guardians, avoid being addicted to the Internet, and cultivate good Internet habits.
14.4.2 Young users should strictly abide by the "National Youth Network Civilization Convention", including:
(1) Be good at online learning and do not browse bad information;
(2) Communicate honestly and friendly, and do not insult or defraud others;
(3) Enhance self-protection awareness and do not make appointments with netizens at will;
(4) Maintain network security and do not disrupt network order;
(5) Pay attention to physical and mental health and do not indulge in virtual time and space.
14.5 In order to better protect the privacy of minors, we remind you to strictly abide by relevant laws and regulations and prudently publish content involving minors. Once published, it is deemed that you have obtained the consent of the rights holder to display the portrait, voice and other information of the minor in Video Ocean, and allow us to use and process the content in accordance with this Agreement.
XV, Applicable Law and Dispute Resolution
15.1 The conclusion, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be subject to the laws of the People's Republic of China. If any clause of this Agreement is deemed invalid or unenforceable due to conflict with the laws of the People's Republic of China, such clause shall be interpreted and enforced in accordance with the original intention of this Agreement as much as possible without violating the law, and the other clauses of this Agreement shall remain in full force and effect.
15.2 This Agreement is signed in Haidian District, Beijing, People's Republic of China. If a dispute arises between you and the Company, the two parties shall try to resolve it through friendly negotiation; if the negotiation fails, you agree to submit the dispute to the People's Court with jurisdiction in Haidian District, Beijing for litigation.
XVI. Others
16.1 The Company has the right to arrange or designate affiliated companies, holding companies, successor companies or recognized third-party companies to continue to operate these products and services according to business needs. Certain service content may be provided to you by affiliated companies, holding companies, successor companies or recognized third-party companies. Your acceptance of such services shall be deemed as your agreement to be bound by this Agreement.
16.2 You and the Company are independent entities. This Agreement does not constitute an express or implied guarantee to you under any circumstances, and no agency, partnership, joint venture or employment relationship is formed between the two parties.
16.3 You understand and agree that the Company may change the performance subject of the Agreement due to business strategy adjustments or service needs, and such changes will not affect your rights and interests under this Agreement. If you continue to use this service, it will be deemed that you agree to the changed entity as your performance counterparty. The Company will notify you of the change through announcements, pop-up prompts or other reasonable means.
16.4 If any clause of this Agreement is deemed invalid or unenforceable, the clause may be separated without affecting the validity and enforceability of other clauses of this Agreement.
16.5 If the Company does not immediately exercise certain rights under this Agreement, or does not take measures against your breach of contract, it will not be deemed that the Company has waived its rights against your other or future similar breaches of contract.
